Endlesslife board of directors is committed to sound corporate governance, transparency, accountability and integrity, complying in all material respects with the recommendations as set out in the Corporate Governance Report, effective 3 June 2013, and legislation including the Companies Act.
The board realizes that the long-term sustainability of corporate capital, balanced economic, social and environmental performance and due consideration to legitimate stakeholder involvement are inextricably linked. The board therefore aims to integrate responsible corporate citizenship into the group’s growth strategy and into daily operations. It further endeavours to ensure that these sustainability components form part of all strategic decisions, audits and assessments.
Significant recent corporate governance advancements included:
The appointment of Dr. Cheyip Boniface as an independent non-executive director and Audit & Risk Committee chairman to further strengthen the board and facilitate the balance of representation as well as ensure the composition of the Audit & Risk Committee in line with the Corporate Laws Amendment Act;
Implementation of the Endlesslife Core and Cultural Values Code – a detailed policy document on the group’s ethics and values;
A formal Whistle Blowing Policy was approved by the board as part of Endlesslife’s commitment to working towards a culture of openness and transparency. In line with the policy whistle blowers will be afforded confidentiality, and no person or employee will be penalised for disclosing in good faith information that might be in Endlesslife’s interest.
